
Corporate Counsel
ABOUT THE TEAM
The Rubrik corporate legal team is looking for an energetic and talented Corporate Counsel with a passion for working on corporate securities, transactions and compliance matters and driving business in a fast-paced in-house environment. This position reports to Rubrik’s Senior Director, Corporate Legal and is located in Rubrik’s HQ (Palo Alto). You will work 3 days a week in the office.
What you’ll do:
- Prepare and review SEC filings, such as Forms 10-K, 10-Q, 8-K, proxy statements, registration statements, and Section 16 reporting, including Forms 3, 4, and 5.
- Advise on compliance with public company rules and regulations, including the Securities Act of 1933, the Securities Exchange Act of 1934, stock exchange listing standards, and Delaware law.
- Assist with corporate governance matters, including board and committee materials and meetings and governance for Rubrik’s international subsidiaries.
- Offer legal support for corporate transactions such as M&A and capital markets transactions, including financings, restructurings, credit facilities, stock repurchases, and debt offerings.
- Implement new corporate legal workflows and processes using AI technology
- Manage outside counsel and internal cross-functional stakeholders in connection with complex corporate projects.
Experience you’ll need:
- Post-graduate legal degree and active membership in at least one U.S. state bar
- 3+ years of corporate legal experience at a top law firm or in-house, with in-house experience or supporting in-house clients strongly preferred
- Demonstrated passion for AI technology, with experience creatively using AI technology and agents to make legal tasks more efficient, scalable, and business-friendly
- Comfort and familiarity working with business and other non-legal stakeholders
- Exceptional written and oral communication skills and attention to detail
- Proactive, self-driven, and able to work independently with excellent business judgment and strategic thinking
- Ability to prioritize and manage business expectations in a fast-paced environment
