Senior M&A Manager | Buy & Build
Gemeinsam mit einem führenden Private-Equity-Investor entsteht derzeit eine neue Buy-&-Build-Plattform im Professional-Services-Markt. enomyc bildet als erstes Plattformunternehmen den Grundstein dieser Wachstumsstrategie. In den kommenden Jahren soll die Gruppe durch gezielte Akquisitionen und die Integration weiterer Unternehmen nachhaltig wachsen. Für den weiteren Aufbau dieser Plattform suchen wir einen Senior M&A Manager (m/w/d), der den gesamten M&A-Prozess eigenverantwortlich begleitet und die Buy-&-Build-Strategie gemeinsam mit dem Investment-Team aktiv vorantreibt.
Ihre Aufgaben
Eigenverantwortliche Umsetzung der Buy-&-Build-Strategie in enger Zusammenarbeit mit Geschäftsführung und Investoren
Identifikation, Analyse und Ansprache geeigneter Akquisitionsziele
Steuerung des gesamten Transaktionsprozesses – von der Erstansprache über Due Diligence bis Signing und Closing
Koordination und Steuerung aller relevanten Workstreams (Financial, Legal, Tax, Commercial und M&A)
Vorbereitung und Durchführung von Management-Meetings sowie Verhandlungen mit Unternehmern, Gesellschaftern und Beratern
Erstellung von Unternehmensbewertungen, Business Cases, Finanzmodellen und Investment Memos
Verhandlung von LOIs, Unternehmenskaufverträgen und weiteren Transaktionsdokumenten gemeinsam mit internen und externen Stakeholdern
Unterstützung der Post-Merger-Integration sowie der kontinuierlichen Weiterentwicklung der Buy-&-Build-Strategie
Perspektivische Übernahme weiterer Verantwortung im Aufbau des M&A-Bereichs
Ihr Profil
Erfolgreich abgeschlossenes wirtschaftswissenschaftliches Studium oder eine vergleichbare Qualifikation
Mindestens fünf Jahre relevante Berufserfahrung im Bereich M&A, Corporate Development, Private Equity, Investment Banking oder Corporate Finance
Erfahrung in der eigenständigen Durchführung komplexer M&A-Transaktionen
Sehr gute Kenntnisse in Financial Modelling, Unternehmensbewertung und Due Diligence
Erfahrung in der Steuerung verschiedener Transaktions-Workstreams sowie im Umgang mit internen und externen Beratern
Unternehmerisches Denken, hohe Eigeninitiative sowie eine strukturierte und lösungsorientierte Arbeitsweise
Ausgeprägte Kommunikations- und Verhandlungsstärke sowie sicheres Auftreten auf Managementebene
Verhandlungssichere Deutsch- und Englischkenntnisse
Reisebereitschaft innerhalb des DACH-Raums
Idealerweise verfügen Sie zusätzlich über Erfahrung in einer Buy-&-Build-Plattform oder im Professional-Services-Umfeld. Dies ist jedoch keine zwingende Voraussetzung.
