
Legal Counsel - Infrastructure Investments
A Singapore-based alternative investment manager is adding a lawyer to its in-house legal function. This is a newly created position within an established business that invests across Asia.
The organisation manages institutional capital and invests in infrastructure-related businesses and assets. Its strategy combines investment activity with the ongoing development of portfolio companies, giving the legal function exposure to matters that continue beyond the initial acquisition.
The position is being added as the investment programme and portfolio develop. The work is therefore expected to cover more than isolated transaction review, following relevant matters from capital formation and investment through ownership and portfolio development.
Reporting line remains flexible and will be determined according to the experience of the person appointed. The scope may also be calibrated around the successful candidate, with M&A capability as the common requirement.
The RoleThis is a broad in-house investment role with expected exposure to both fund-related matters and transaction work. The final allocation between these areas remains to be confirmed.
Fund and Capital Matters- Support fund formation and ongoing fund documentation, potentially including LPAs, side letters and related investor documentation.
- Assist with co-investment and other capital arrangements connected to investment activity.
- Work with relevant internal functions where legal matters touch fundraising, investor commitments, governance or fund operations.
- Take a central legal role in M&A activity involving infrastructure-related businesses and assets. Strong M&A is the confirmed core requirement.
- Support transactions from structuring and due diligence through documentation, negotiation and completion.
- Advise on joint ventures, corporate structuring, follow-on acquisitions and transaction-related financing where relevant.
- Coordinate external counsel across relevant jurisdictions while keeping legal work aligned with the commercial objective of each transaction.
- Work with investment and asset-management colleagues after acquisition as portfolio businesses grow, undertake further transactions or enter new markets.
- Support legal matters arising from additional capital deployment, strategic partnerships, development activity and portfolio-level M&A.
- Help translate transaction terms into workable governance and ownership arrangements.
