Supercritical is looking for a Legal Counsel to join us on a part-time basis to support our commercial and operational legal requirements as we scale. This is a 9-month fixed-term contract with a strong opportunity to convert to a permanent role, depending on business needs and performance.

You will be responsible for leading key legal work streams over the contract term: corporate structures, supporting commercial contracting for strategic deals, and providing legal input on fundraising.

This role is ideal for a commercially minded lawyer who can step in quickly, deliver high-impact legal support, and can negotiate contracts in a commercial and collaborative manner.  This role will put in place the legal foundations for the company’s next stage.

Key Responsibilities

  • Corporate Structuring
    • Lead the design and establishment of corporate entities for financing and international expansion.
    • Manage governance frameworks and board/shareholder processes across the group.
  • Commercial Contracting
    • Draft, review, and negotiate key customer, supplier, and partnership agreements.
    • Build on our library of standard contracts (NDAs, MSAs, SLAs).
    • Support deal structuring to balance commercial growth with legal protections.
  • Fundraising & Financing
    • Support equity fundraising rounds and debt financings, including term sheet review and managing closing processes.
    • Ensure compliance with investor rights and corporate approvals.
  • Risk & Compliance
    • Identify and mitigate key contractual and financing risks.
    • Develop scalable legal processes that fit a growth-stage company.
    • Manage external legal advisers effectively and cost-consciously.
  • UK-qualified lawyer (or equivalent) with 5+ years PQE, ideally trained in a top law firm with in-house experience at a scaling company.
  • Strong grounding in corporate law (SPVs, corporate structuring, governance) and commercial contracting.
  • Experience supporting equity and/or debt financings.
  • Pragmatic, commercial mindset — able to balance risk with business goals.
  • Self-starter who enjoys building things from scratch and can operate with limited resources.
  • Excellent communicator, able to work directly with executives, investors, and external counsel.
